Our Governing Framework
MANAGEMENT AND GOVERNING BODY
The Fremont County Association of Governments is governed by a board consisting of the seven (7) members of the Fremont County Association of Governments Joint Powers Board. Each board member representative shall be the primary elected official of the following membership organizations: Town of Dubois, County of Fremont, Town of Hudson, City of Lander, Town of Pavillion, City of Riverton and Town of Shoshoni. The board, formed in 1983, officially operates as a Joint Powers Board formally recognized by a Joint Powers Agreement submitted and approved by the State of Wyoming in 1983.
PURPOSE: The purpose of the Association is to:
- Provide a forum for discussion of issues of mutual interest and concern.
- Promote a spirit of cooperation and respect among local governments in Fremont County
- Coordinate and consult with local governments to assist in effectiveness/efficiencies and provide professional services such as grant writing.
- Allow each local government to retain local autonomy while providing a legal organization to formally address issues of interest on a local, county, regional and statewide level.
LOCATION: The primary Fremont County Association of Governments office is located at 2554 Airport Drive, Riverton, Wyoming. Additional satellite offices may be determined in other locations in order to meet the needs of the type of work being completed.
SECTION I: OFFICERS
- TITLES: The following shall be a list of officers for the Fremont County Association of Governments Joint Powers Board: Chair, Vice-Chair, Secretary Treasurer.
- DUTIES:
- CHAIR: The Chair of the Joint Powers Board shall be responsible for the following: calling regular and special meetings; formulating the agenda for all meetings; chairing all meetings in accordance with the adopted rules of Parliamentary Procedure; appointing all committees, and other personnel necessary for the efficient operation of the Joint Powers Board, with the advice and consent of a majority of the other members of the Board. Additionally, the Chair shall have a full participating vote in all the items of business to come before the Board. The Chair shall also be responsible for signing those payments which the Joint Powers Board shall make in connection with the conduct of its business.
- VICE-CHAIR: The Vice-Chair shall be responsible for acting in the capacity of Chair should the Chair be unable to fulfill the duties. The Vice-Chair shall also fulfill those additional duties which may be delegated, from time to time, by the Joint Powers Board.
- SECRETARY/TREASURER: The Secretary/Treasurer in conjunction with the Association’s Administrator shall be responsible for the filing of and recording of all incoming correspondence to the Joint Powers Board; supervising the answering of all correspondence of the Board; the recording, transcription and filing of all minutes pertaining to the official business of the Joint Powers Board; maintenance of accurate records pertaining to the operation or administrative funds of the Joint Powers Board; maintenance of accurate records pertaining to the operational or administrative funds of the Joint Powers Board; maintenance of accurate records for those funds which the Board may administer from time to time relative to said project; depositing, in an officially designated depository, all funds which the Board may, from time to time, administer; provide these records for an annual audit to be conducted by the accounting firm appointed by the Board; prepare an annual administrative, or operational, budget which shall be presented to the Board for their approval; disburse funds relative to Joint Powers Board projects or operational expenses.
- TERM – ELECTION OF OFFICERS AND VACANCIES
- TERM: All officers of the Joint Powers Board shall be elected for one (1) year terms. Officers may be re-elected to posts. The term of officer shall run from January 1st to December 31st of each administrative year.
- ELECTION: Officers shall be elected by the Board at its first meeting in January of each calendar year and shall be elected by a simple majority of the entire Joint Powers Board.
- VACANCY – A vacancy created in one of the elected officer positions shall be filled for the unexpired term by a simple majority vote of those Board members present at its next regularly scheduled meeting.
- MEMBERSHIP: Membership is determined by the most current filed Joint Powers Agreement with the State of Wyoming.
SECTION II: MEETINGS AND RECORDS
- MEETINGS AND PROCEDURES
- MEETINGS: The Joint Powers Board meet publicly on the second Thursday of each month at 1 p.m. If the Board is unable to meet at this time the Chair may change the time and date for the meeting. Meetings will rotate to different locations of the membership. The meetings are open to the public. Special and emergency meetings may be called from time to time at the discretion of the board. The media will be notified of all meetings.
- AGENDAS: Agendas for meetings are set by the Board Chair. Suggestions for agenda items can be submitted to the Chair at least a week prior to the meeting or can be proposed as agenda amendments by a board member at the beginning of the official meeting.
- PARLIAMENTARY PROCEDURE: All meetings of the Joint Powers Board shall be conducted in accordance with Robert’s Rules of Order.
- VOTING
- QUORUM: A quorum, defined as a simple majority of board membership, is required to conduct business. A simple majority of the quorum present is required to approve business. Board members may attend meetings in person, via video conference or via telephone if approved by the chair. Additional meeting settings may be determined by the board chair as necessary.
- PROXY: Members of the Joint Powers Board may designate a proxy to attend any particular meeting to vote and speak as the representative of their organization.
- ELECTRONIC VOTES: Board members may vote via email/electronically on agenda items.
- DELINQUENT MEMBERSHIP DUES: In order to vote, the annual dues of Joint Powers Board Members must be current or in good standing with the board.
- COMMITTEES
- AD HOC/SUBCOMMITTEES: The board may, from time to time, establish and direct committees to prepare and pursue certain items of business which the Board may feel are necessary to the pursuance of its objectives. Such committees shall be created on a temporary or permanent basis, as the Board deems fit. Membership on such committees may be comprised of any qualified voter of Fremont County, Wyoming, selected by the Board as the Board deems fit.
- RECORDS: All records of the business of the Joint Powers Board, including correspondence and minutes of the meetings, shall be kept on file with the Administrator and shall be open to public inspection during normal office hours and in accordance with the Wyoming State Statutes.
- CHECKS AND BALANCES
- MINUTES AND RECORDS: All minutes shall be approved, signed by the Chair and attested by the Board Secretary. All minutes and records shall be kept on file at the office of the Administrator and shall be open to public inspection according to Wyoming State Statutes.
- FORMAL ORGANIZATIONAL DECISIONS REQUIRING BOARD APPROVAL
- Amendments to Joint Powers Board Agreement or bylaws
- Grant agreements and financial transfers
- Borrowing or lending money
- Annual budget adoption and significant budget changes
- Changing of strategic direction, policies or benefit plans
- Significant agreements (audits, consulting agreements, office leases, equipment leases, etc)
- Construction contracts
- Purchase, sale or distribution of significant assets
- Monthly minutes, vouchers, expenditures and reports
- Changes to accessors/signers on bank accounts
- Employment and contract with FCAG Administrator and/or WRTA Manager
SECTION III: FINANCES AND CONTRACTUAL SERVICES
- APPOINTMENTS: The Joint Powers Board shall make appointments and employ such persons as it deems necessary to fulfill its chartered obligations and to comply with Wyoming State Statutes. Such appointments shall include an official newspaper of general circulation in the county and a bank depository. Additionally, the Board may enter into any other contractual services as it deems necessary.
- ADMINISTRATION: The Board shall employ and supervise such Personnel as is deemed necessary to properly perform the functions of the Joint Powers Board. All persons hired by the Board shall be responsible to the Board and shall be prepared to make a monthly report of all activity in which they have been involved whenever requested by the Board.
- FINANCES:
- PAYMENTS: All payments of the Joint Powers Board for services and items rendered to it shall be approved on a monthly basis. Payments shall require two (2) signatures and be made under the supervision of the Board. The Chair, Vice-Chair and Secretary/Treasurer shall be the primary signatories. There shall be additional board signatories in the event of an officer absence.
- BUDGET: The Fremont County Association of Governments fiscal year is July 1st – June 30th. The annual budget must be presented to the board for approval no later than the June board meeting.
- DUES: Dues will be determined annually and shall be paid by each participating member on a quarterly basis beginning at the start of each fiscal year (July 1st).
- AGENT: The agencies participating in a Joint Powers Board project may appoint the Joint Powers Board to act as an agent in managing a specific project and its finances. The Joint Powers Board may direct the Administrator to serve as the fiscal manager to receive monies and make disbursements for the project. The Board shall act only as an administrative coordinator in these projects.
SECTION IV: SUSPENSION AND AMENDMENTS
- SUSPENSION: Should the Board determine that a “state of emergency” exists, these Bylaws can be suspended by a means of a two-thirds (2/3) vote of the entire Board.
- AMENDMENTS: Amendments to the Joint Powers Board Bylaws must be proposed at a regular monthly meeting. The proposed amendment may then be adopted at another public meeting at least two (2) weeks following the initial proposal of the said amendment by a two-thirds (2/3) majority of the Joint Powers Board.
